This JetBrains TeamCity Cloud Free Plan Addendum (“Addendum”) supplements the JetBrains TeamCity Cloud Terms of Service (the “Terms”).
By accepting this Addendum, You agree that Your access to and use of the Free Plan is governed by the Terms, as amended and supplemented by this Addendum. In the event of any conflict or inconsistency between the Terms and this Addendum, the provisions of this Addendum shall prevail and govern Your use of the Free Plan.
a) Free Plan. “Free Plan” means the specific, free-of-charge subscription tier for TeamCity Cloud made available by Us to You, subject to the resource limits, conditions, and revocability described in this Addendum.
a) No Subscription Fees. The Free Plan is provided to You free of charge. Any obligations in the Terms requiring the payment of subscription fees do not apply to Your use of the Free Plan.
a) Eligible Instances Only. The Free Plan is offered solely for newly created TeamCity Cloud instances selected by Us. You shall not convert, transfer, or downgrade any existing paid TeamCity Cloud Subscription, instance, or organization account to the Free Plan.
a) Limit Specification. Your use of the Free Plan is subject to specific resource limits, including caps on monthly build credits, concurrent build agents, and storage, as described in the Documentation.
b) Monthly Resets. All resource limits reset on the first day of each calendar month. Unused resources or credits do not roll over.
c) Exhaustion Pause. Upon exhaustion of any monthly resource limits, We shall automatically and immediately pause all software build executions for Your instance. No new builds may run for the remainder of that calendar month.
d) Read-Only Access. During any period of build pause caused by limit exhaustion, Your administrators shall retain read-only access to Your instance, enabling You to view configurations and retrieve Your Data.
a) Anywhere Hosting. You acknowledge that the Free Plan is hosted in a multi-tenant environment. We make no guarantees regarding geographic data residency or specific hosting locations for the Free Plan. We may host, back up, and transfer Your Data to any of Our global server locations.
a) Third-Party Credentials License. To enable TeamCity Cloud to pull source code, trigger pipelines, and return status checks, You hereby grant Us a limited, non-exclusive, fully paid-up, worldwide license to receive, store, decrypt, and use Your third-party credentials. We shall utilize Your third-party credentials solely to execute automated tasks on Third-Party Software as directed by Your configurations.
b) Third-Party Software Disclaimer. We do not own, control, or operate any Third-Party Software (such as external repository platforms) that TeamCity Cloud connects to. We shall not be liable for any acts, omissions, outages, or data loss occurring on or caused by any Third-Party Software.
a) Best-Effort Support. We provide technical support for the Free Plan solely on a best-effort, discretionary basis via community forums and public issue trackers.
b) No SLA. No Service Level Agreement (SLA), performance metrics, or uptime guarantees shall apply to the Free Plan.
a) No Statutory Rights. Because the Free Plan is provided free of charge, to the maximum extent permitted by applicable law, You acknowledge that You have no statutory or contractual rights arising from defective performance, and You hereby unconditionally waive all statutory rights arising from defective performance.
a) Nominal Liability Cap. FOR THE AVOIDANCE OF DOUBT, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN SECTION 11 OF THE TERMS, OUR TOTAL AGGREGATE LIABILITY IN ANY AND ALL MATTERS ARISING OUT OF OR IN RELATION TO THIS ADDENDUM AND YOUR USE OF THE FREE PLAN IS STRICTLY LIMITED TO TEN (10) U.S. DOLLARS (USD 10).
a) Convenience Termination by Us. Because the Free Plan is provided free of charge, We may terminate this Addendum and discontinue the Free Plan program (or Your specific Free Plan instance) at any time for convenience by providing You with fourteen (14) days’ prior written notice.
a) 30-Day Inactivity Purge. If Your Free Plan instance is entirely inactive (meaning no builds are executed and no user logs in) for a consecutive period of thirty (30) days, We shall have the right to automatically terminate this Addendum and permanently delete Your instance and all Your Data. We shall send a pre-deletion warning email to Your registered administrator seven (7) days prior to executing such deletion.
a) Separate Termination. This Addendum may be terminated separately from the Terms by either Party.
b) Migration Fallback. In the event that this Addendum is terminated, You will immediately lose access to TeamCity Cloud under the Free Plan. Upon such termination, Your administrators shall retain read-only access to Your TeamCity Cloud instance for a grace period of thirty (30) days (the “Grace Period”) solely to view Your configurations, retrieve Your Data, or purchase a valid commercial subscription under the Terms (if offered by Us). If You purchase a valid commercial subscription within the Grace Period, Your access to the Service will be restored and governed by the Terms. If You do not purchase a valid commercial subscription or retrieve Your Data within the Grace Period, Your access to Your Data and the instance will be permanently blocked, and all Your Data will be permanently deleted from Our systems.
We may terminate these Addendum and Terms and disable Your access to the Service, without prior notice or a grace period, if we detect any of the following breaches:
a) Outbound Malicious Activity. You shall not use the Service, Your instance, or any Build Agent to target, disrupt, intercept, or gain unauthorized access to any external networks, systems, or third parties. This includes initiating any network activity or automated process that is malicious, abusive, or reasonably likely to cause harm or reputational damage to external infrastructure.
b) Cross-Tenant Interference. You shall not engage in any conduct that materially degrades, disrupts, or compromises the performance, availability, or security of Our shared infrastructure or the environments of other users. This includes any attempt to circumvent isolation boundaries or consume resources in a manner that negatively impacts other customers.
c) Resource Exploitation. You shall not use the Service for computationally intensive operations unrelated to standard software development, build, and deployment workflows. This expressly prohibits all forms of cryptocurrency mining, blockchain processing, and similar resource-exploitative activities.
